The date of adoption of the resolution is deemed as the beginning of the voluntary winding-up. When a voluntary winding-up resolution has been adopted, the Court may order that the winding-up continues subject to Court supervision.<\/p>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-57783c8 elementor-widget elementor-widget-text-editor\" data-id=\"57783c8\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<p>Any licensed insolvency practitioner may be appointed by the members and\/or the creditors of the company as liquidator to settle the affairs of the company and distribute its assets. In the case of winding-up subject to Court\u2019s supervision, the Court may appoint an additional liquidator.<\/p>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-959ba8e elementor-widget elementor-widget-text-editor\" data-id=\"959ba8e\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<p>During the winding-up, the company\u2019s property will be allocated to equally satisfy all its obligations and, without prejudice to its allocation, it will be distributed between its members, in accordance with their rights and interests in the company. The company winding-up expenses are paid before every other claims.<\/p>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-1e112ff elementor-widget elementor-widget-text-editor\" data-id=\"1e112ff\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<p>Upon completion of all the winding-up, the liquidator convenes a General Meeting and presents the final accounts of the company.<\/p>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-29a3f8d elementor-widget elementor-widget-text-editor\" data-id=\"29a3f8d\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<p>The company is considered as dissolved 3 months after its final accounts and the report of the final meeting have been submitted to the Insolvency Department.<\/p>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t<section class=\"elementor-section elementor-top-section elementor-element elementor-element-5cc2d01 elementor-section-boxed elementor-section-height-default elementor-section-height-default\" data-id=\"5cc2d01\" class=\"elementor-element elementor-element-00d5826 elementor-widget elementor-widget-text-editor\" data-id=\"00d5826\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<p>Within 15 days from the day of the adoption of the voluntary winding-up resolution, the Company should submit a copy thereof to the Insolvency Department to be published in the Official Gazette of the Republic of Cyprus.<\/p>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-2daa83b elementor-widget elementor-widget-heading\" data-id=\"2daa83b\" data-element_type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t<h4 class=\"elementor-heading-title elementor-size-default\">Solvency statement:<\/h4>\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-9ae6b5b elementor-widget elementor-widget-text-editor\" data-id=\"9ae6b5b\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<ul>\n<li>If the members of the company suggest a voluntary winding-up, a solvency statement should be prepared and submitted.<\/li>\n<li>This statement includes the status of the company\u2019s assets and liabilities, as it appeared on the last practically possible date prior to the preparation of the statement.<\/li>\n<li>The statement must be completed 5 weeks prior to the date of the resolution on the company\u2019s winding-up.<\/li>\n<li>The statement is prepared by the majority of the company\u2019s directors before a registrar of a district court. If the practitioners\/directors of the company are abroad, the statement is submitted to a certifying employee or to the Embassy of Cyprus at the country where they reside, whereby the authenticity of their signature is certified.<\/li>\n<li>Any winding-up where a statement has been made and submitted is referred to as &#8216;voluntary winding-up by members&#8217;. If the insolvency statement is not drawn up and submitted, then the winding-up is referred to as a &#8216;voluntary winding-up by creditors&#8217;.<\/li>\n<\/ul>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-3a43af5 elementor-widget elementor-widget-heading\" data-id=\"3a43af5\" data-element_type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t<h4 class=\"elementor-heading-title elementor-size-default\">Final meeting and dissolution:<\/h4>\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-a39634a elementor-widget elementor-widget-text-editor\" data-id=\"a39634a\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<ul>\n<li>A General Meeting is convened through the publication of a notification at the Official Gazette of the Republic of Cyprus, where the time, location and purpose of the meeting are determined.
